3. Nature of Ordovian’s Activities
Ordovian is an investment holding company active in private markets. It invests as principal, and alongside co-investors, in infrastructure, energy, sports and related real assets. Investments are typically made transaction by transaction and held through dedicated special purpose vehicles.
Ordovian does not:
- operate a public investment platform;
- accept subscriptions or investments through the Website;
- hold, transmit or custody third-party funds through the Website;
- provide retail financial services; or
- provide discretionary investment management to the public.
Any transaction, co-investment or engagement is entered into only under separate written agreements between the relevant parties, which govern exclusively.
4. Disclosures
Regulatory status. Ordovian Ltd is not authorised or regulated by the Financial Conduct Authority. It does not act as an alternative investment fund manager, and it does not carry on regulated activities with or for the public. Where a transaction requires a regulated party, such as an arranger, manager, depositary or placement agent, that role is performed by an appropriately authorised third party under separate agreements.
Conflicts of interest. Ordovian’s partners, Investment Committee members and advisers may hold positions with, invest through, or receive remuneration from other firms. These may include firms that co-invest with Ordovian or act as counterparties in its transactions. Ordovian, its affiliates and its people may also hold interests in, or receive fees connected with, the transactions and assets they evaluate or refer to. Ordovian seeks to identify and manage such conflicts, and material conflicts are disclosed to relevant parties under the documentation governing each transaction.
Fees. Ordovian may receive structuring, arrangement, transaction, monitoring or performance-related fees, carried interest or similar economics in connection with transactions. Any such arrangement is set out in the relevant transaction documentation.
Case references. Any reference on the Website to past transactions, situations or case studies is illustrative. It may be anonymised, does not represent all transactions undertaken, and is not indicative of future results.
Eligibility. Information about investment opportunities is intended only for persons who qualify as professional clients, eligible counterparties, or investors otherwise permitted to receive it under the laws of their jurisdiction. It is not directed at persons in any jurisdiction where its publication or availability would be unlawful.
5. No Relationship Created
Use of the Website does not create a client relationship, investor relationship, fiduciary duty, partnership, joint venture, agency or any other legally binding obligation between you and Ordovian.
6. No Reliance
We make no representation as to the completeness, accuracy or currency of the information on the Website. You are solely responsible for conducting your own independent due diligence and obtaining appropriate professional advice before making any financial or investment decision.
7. Forward-Looking Statements and Risk
Any statement on the Website about strategy, projections, expected performance, valuations, returns or outcomes is forward-looking and subject to material uncertainty. Actual results may differ materially due to, among other things:
- market conditions;
- regulatory and political developments;
- macroeconomic factors;
- financing availability;
- counterparty performance; and
- force majeure events.
Private-market investments are illiquid and involve a high degree of risk, including the loss of all capital invested. Past performance is not a reliable indicator of future results. Ordovian gives no guarantee of performance or outcome.
8. References to People and Third Parties
The Website describes the backgrounds of Ordovian’s partners, Investment Committee members and advisers, including roles they hold or have held with other firms. Those firms are independent of Ordovian. Their activities, products and statements are not those of Ordovian, and references to them do not constitute an endorsement by or of them.
Links to third-party websites are provided for convenience only. Ordovian is not responsible for their content.
9. Intellectual Property
All content on the Website, including text, design, branding, graphics and structure, is the intellectual property of Ordovian or its licensors unless otherwise stated. No content may be reproduced, distributed, modified or transmitted without our prior written consent.
10. Confidentiality
Submitting information through the Website does not create any confidentiality obligation unless and until a separate written non-disclosure agreement is executed. Please do not send confidential or proprietary information through the Website.
11. Limitation of Liability
The Website and its content are provided “as is” and “as available”. To the fullest extent permitted by law, Ordovian excludes all representations, warranties and conditions, express or implied.
Ordovian is not liable for any direct or indirect loss, loss of profit, revenue or business opportunity, or any consequential, incidental or special damages arising from or in connection with use of the Website.
Where liability cannot be excluded by law, Ordovian’s total aggregate liability arising from or in connection with the Website shall not exceed GBP 10,000.
Liability under any separate written agreement is governed exclusively by that agreement. Nothing in these Terms excludes or limits liability for fraud or any other liability that cannot be excluded or limited under applicable law.
12. Indemnification
You agree to indemnify and hold harmless Ordovian, its affiliates, and their respective directors, officers, partners, employees and agents against any claims, liabilities, losses, damages, costs and expenses, including reasonable legal fees, arising from or in connection with:
- your use or misuse of the Website;
- your breach of these Terms;
- your violation of any applicable law or regulation; or
- your infringement of any third-party right, including intellectual property or privacy rights.
This obligation survives the termination of your use of the Website.
13. Force Majeure
Ordovian is not liable for any delay or failure arising from events beyond its reasonable control. These include acts of God, natural disasters, war, terrorism or civil unrest, governmental or regulatory action, pandemics, failures of telecommunications or infrastructure, cyber incidents and third-party service failures.
14. Suspension of Access
Ordovian may restrict, suspend or terminate access to the Website at its discretion and without notice, where legally permissible.
15. Entire Agreement
These Terms constitute the entire agreement between you and Ordovian concerning your use of the Website. They supersede any prior representations or understandings relating to it. Any investment, co-investment or other relationship is governed exclusively by separate written agreements.
16. Severability
If any provision of these Terms is found invalid or unenforceable, it shall be severed and the remaining provisions shall continue in full force and effect.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of England and Wales, without regard to conflict-of-law principles.
Any dispute, controversy or claim arising out of or in connection with these Terms or use of the Website shall be finally resolved under the Rules of Arbitration of the International Chamber of Commerce (ICC). The arbitration shall be conducted in English by a sole arbitrator, unless the ICC Rules require otherwise, and seated in London, United Kingdom. The award shall be final and binding.
Where a separate written agreement exists, its governing law and dispute resolution provisions prevail. For cross-border matters, the parties may agree in writing to seat the arbitration in Geneva, Switzerland.
